Bullion Breaks Custom Packaging & Private-Label Program Terms and Conditions

1. Program Eligibility

The Bullion Breaks Custom Packaging Program is open to businesses, dealers, retailers, entrepreneurs, collectors, and individuals.

All applications and projects are subject to review and approval. Bullion Breaks may decline projects that are unlawful, unsafe, unsuitable for its capabilities, impractical, or inconsistent with its business requirements.

Submitting an application does not guarantee acceptance or obligate either party to place or accept an order.

2. Available Services

Option A — Customer-Supplied Products: The Customer supplies approved products, and Bullion Breaks performs the packaging, assembly, sealing, labeling, or related services specified in the accepted project agreement.

Option B — Contents and Packaging Supplied by Bullion Breaks: Bullion Breaks sources or supplies approved contents and packaging and prepares the finished products according to the agreed specifications.

A project may combine both options if agreed in writing.

3. Behind-the-Scenes and Private-Label Services

Bullion Breaks operates as a behind-the-scenes packaging partner. Finished products do not need to display Bullion Breaks branding unless otherwise agreed or required by applicable law.

Customers may request neutral packaging or packaging featuring their own authorized branding and artwork.

Bullion Breaks will not use a Customer's name, logo, or project as a public marketing example without prior written permission, except where disclosure is legally required.

Neither party may use a private-label arrangement to conceal information that applicable law requires to be disclosed.

4. Application and Project Approval

Customers must provide accurate product descriptions, quantities, specifications, intended uses, and other information reasonably required to evaluate a project.

Bullion Breaks may request proof of ownership or authorization, an inventory, photographs, product specifications, or other supporting documents.

Work will not begin until the quotation, product specifications, branding, quantities, payment terms, and applicable project agreement have been approved in writing.

5. Customer-Supplied Products

For Option A:

  • The Customer represents that it owns the products or has authority to submit them.

  • The Customer must provide an accurate inventory and declared value before shipment.

  • The Customer is responsible for inbound shipping, appropriate packaging, and insurance unless otherwise agreed in writing.

  • Bullion Breaks may document received quantities, apparent damage, and discrepancies.

  • Bullion Breaks will exercise reasonable care over products while they are in its custody.

  • Bullion Breaks may not sell, pledge, transfer, or otherwise dispose of Customer-owned products.

  • Testing, cleaning, grading, authentication, alteration, opening sealed items, or other work beyond the approved scope requires separate written authorization.

Products must not be shipped until written approval and shipping instructions have been provided.

6. Contents and Materials Supplied by Bullion Breaks

For Option B, Bullion Breaks will supply only the contents, materials, and services identified in the accepted quotation.

Availability, supplier costs, precious-metal prices, and packaging material costs may change before an order is accepted. Any applicable price change must be disclosed and approved before the affected order becomes binding.

Product specifications and substitutions must be documented and approved in accordance with the accepted project agreement.

The agreement will establish when ownership and risk of loss transfer, subject to applicable law.

7. Pricing, Minimum Orders, and Payment

Pricing, minimum order quantities, setup fees, materials, labor, sourcing, artwork, shipping, insurance, and applicable taxes will be specified in the written quotation.

A deposit or advance payment may be required before materials are purchased or production is scheduled. Payment deadlines and any cancellation charges must be stated in the accepted quotation.

Additional work or changes requested after approval may require revised pricing and production timelines.

8. Artwork and Intellectual Property

The Customer represents that it has the necessary rights to all logos, artwork, trademarks, product images, and text it supplies.

The Customer grants Bullion Breaks permission to use those materials only as necessary to complete the approved project.

Bullion Breaks retains ownership of its pre-existing trademarks, designs, templates, methods, and proprietary materials. Neither party receives ownership of the other party's intellectual property merely by participating in the program.

Final artwork must be approved in writing before production.

9. Product Descriptions and Legal Compliance

Product labels, descriptions, advertising claims, and required disclosures must accurately represent the finished product.

The parties will document who is responsible for label preparation, product specifications, regulatory review, and approval.

Neither party may knowingly request or approve false, misleading, unsupported, or unlawful claims.

Private-label packaging does not change a product's actual manufacturer, origin, composition, weight, grade, certification, or other material characteristics.

Each party remains responsible for its own conduct and legal obligations that cannot lawfully be transferred or waived.

10. Samples and Quality Control

The Customer must approve any required sample or prototype before mass production begins.

The accepted project agreement should identify applicable quality standards, tolerances, inspection procedures, and the time allowed for reporting apparent defects or shortages.

Bullion Breaks will perform the agreed services with reasonable care. Any agreed inspection procedure does not eliminate statutory rights that cannot lawfully be waived.

11. Shipping, Insurance, Loss, and Damage

The project agreement will specify responsibility for inbound and outbound shipping, transit insurance, storage, customs documentation, duties, and delivery costs.

The parties will document the condition and declared value of Customer-owned products and clarify the applicable insurance coverage, deductibles, and exclusions.

Responsibility for loss or damage will be determined by the accepted agreement and applicable law. No provision excludes liability that cannot lawfully be excluded or limited.

12. Changes, Cancellation, and Unclaimed Products

Changes to approved products, artwork, quantities, or packaging may affect price and delivery time.

Cancellation terms, deposits, completed work, nonrecoverable costs, and customized materials will be governed by the accepted quotation and applicable law.

If Customer-owned products remain unclaimed, Bullion Breaks will provide written notice and a reasonable opportunity for collection or return. Any storage charges or further remedies must be agreed upon where required and exercised in accordance with applicable law.

Failure to collect goods does not automatically transfer ownership to Bullion Breaks.

13. Confidentiality

Each party will take reasonable measures to protect the other's non-public pricing, artwork, product specifications, business information, and project details.

Permitted disclosures include those required by law and disclosures to insurers, professional advisers, and necessary service providers subject to appropriate confidentiality obligations.

Neither party may publicly identify the other as a project partner or use the other's branding without permission, except as legally required.

14. Indemnification

To the extent permitted by law, each party will be responsible for third-party claims arising from its own breach, negligence, willful misconduct, unlawful conduct, or infringement of third-party rights.

The Customer is responsible for claims arising from unauthorized products, artwork, or instructions supplied by the Customer, to the extent legally attributable to the Customer.

Nothing in this section eliminates either party's non-waivable legal responsibilities.

15. Limitation of Liability

Any agreed liability cap, exclusions, and allocation of risk must be stated in the accepted project agreement and reviewed for enforceability.

Any limitation should account for the value of Customer-owned products, supplied goods, insurance coverage, and the nature of the services.

No provision excludes liability where such exclusion is prohibited by law.

16. Suspension and Termination

Bullion Breaks may suspend or decline work if required information is missing, payment obligations are not met, products are unsuitable, or the project presents legal, safety, or operational concerns.

Either party may terminate a project in accordance with the accepted project agreement and applicable law.

On termination, the parties will reconcile payments, completed work, approved expenses, materials, and the return or delivery of Customer-owned goods.

17. Disputes and Governing Law

The governing law, dispute-resolution procedure, and appropriate venue will be specified in the accepted project agreement following legal review.

The parties will first attempt to resolve disputes through good-faith written communication, without restricting rights or remedies that cannot lawfully be waived.

18. Entire Agreement

The accepted quotation, approved specifications, these Terms and Conditions, and any signed project-specific agreement collectively govern the project.

The accepted project agreement will specify the order of precedence if documents conflict.

Amendments must be made in writing and approved by authorized representatives of both parties.

19. Acknowledgment

Customers acknowledge that their project is subject to review, written quotation, approval of specifications, and acceptance of applicable project terms before production begins.
